Terms of Service

The terms and conditions governing your use of the Biodux PMS platform and related services.

These Terms of Service ("Terms") constitute a legally binding agreement between you (the hotel operator, authorised staff member, or entity accessing the Service) and Biodux Technologies ("Biodux", "we", "us", or "our"), a company registered in Nigeria and operating the Biodux PMS hospitality management platform. Please read these Terms carefully before using our Service. These Terms should be read together with our Privacy Policy, which forms part of this agreement.

1. Agreement to Terms

1.1 Acceptance

By accessing or using the Biodux PMS platform, website, mobile applications, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are accessing the Service on behalf of a hotel, guesthouse, resort, or hospitality business, you represent that you have the authority to bind that entity to these Terms. If you do not agree with any part of these Terms, you must not use our Service.

1.2 Eligibility

The Service is intended for use by hospitality businesses and their authorised staff. You must be at least 18 years of age and have the legal capacity to enter into binding contracts under Nigerian law. By using the Service, you confirm that you meet these requirements.

1.3 Changes to Terms

Biodux Technologies reserves the right to modify these Terms at any time. We will provide notice of material changes by email or through an in-platform notification at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

1.4 Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria, unless otherwise agreed in writing between the parties.

2. The Service

2.1 Platform Description

Biodux PMS is a cloud-based hospitality management platform providing property management (PMS), point of sales (POS), booking engine, inventory management, accounting, channel management, guest experience tools, and third-party integrations. The specific features available to your property depend on your subscription plan.

2.2 Software as a Service

The Service is provided on a Software-as-a-Service (SaaS) basis. Biodux grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the platform solely for your internal hospitality business operations during the subscription term. You do not acquire any ownership interest in the software.

2.3 Service Availability

We target 99.9% platform uptime and maintain redundant infrastructure to minimise disruption. Planned maintenance will be communicated at least 48 hours in advance where possible. Biodux is not liable for downtime resulting from third-party infrastructure failures, force majeure events, or circumstances beyond our reasonable control.

2.4 Third-Party Integrations

The Service integrates with third-party platforms including OTAs (Booking.com, Expedia, Airbnb), payment gateways, channel managers, door lock systems, IPTV, and internet providers. Biodux does not control these third-party services and is not responsible for their availability, accuracy, or terms. Your use of third-party integrations is subject to their respective terms and conditions.

2.5 Updates & Modifications

Biodux continuously improves the platform. We may add, modify, or remove features at our discretion. Significant feature removals that materially affect the core functionality of your subscribed plan will be communicated with at least 30 days notice.

3. Subscriptions & Payment

3.1 Subscription Plans

Access to Biodux PMS requires a paid subscription. Plans are based on the number of properties, rooms, and features required. Pricing is presented in Nigerian Naira (NGN) unless otherwise agreed. Biodux reserves the right to modify pricing with 30 days notice, applicable from the next billing cycle.

3.2 Billing & Payment

Subscriptions are billed in advance on a monthly or annual basis as selected during signup. Payment is due on the subscription renewal date. We accept payment via bank transfer, debit card, and supported Nigerian payment gateways. All payments are processed through PCI-DSS compliant payment processors.

3.3 Late Payment

If payment is not received within 7 days of the due date, Biodux may suspend access to the Service. If payment remains outstanding after 30 days, Biodux may terminate the subscription and initiate data retention procedures as outlined in our Privacy Policy. Reactivation fees may apply.

3.4 Taxes

Subscription fees are exclusive of applicable taxes including Value Added Tax (VAT) at the current Nigerian rate. Applicable taxes will be added to your invoice. Hotel operators are responsible for their own tax obligations arising from use of the platform, including withholding tax where applicable.

3.5 Refunds

Annual subscription payments are refundable on a pro-rata basis if a cancellation request is submitted within 30 days of payment. Monthly subscriptions are non-refundable once the billing period has commenced. Onboarding, data migration, and training fees are non-refundable once services have been delivered.

4. Acceptable Use

4.1 Permitted Use

You may use the Service solely for lawful hospitality business operations including managing reservations, processing payments, managing staff, tracking inventory, generating financial reports, and communicating with guests. Use must comply with all applicable Nigerian laws and regulations.

4.2 Prohibited Activities

You must not use the Service to: process payments for unlawful purposes; collect or store guest data beyond what is necessary for legitimate hospitality operations; reverse engineer, decompile, or attempt to extract the source code of the platform; resell or sublicence access to the Service; introduce malicious code, viruses, or security exploits; or use the platform in any manner that could damage, disable, or impair the Service.

4.3 Guest Data Obligations

As a data controller, hotel operators are responsible for ensuring guest data collected through Biodux PMS is obtained with appropriate consent, used only for legitimate hospitality purposes, protected against unauthorised access, and handled in compliance with the Nigeria Data Protection Regulation (NDPR) 2019 and any other applicable data protection laws.

4.4 Staff Access Management

Hotel operators are responsible for managing staff access to the platform, including promptly revoking access when staff leave or change roles. You are responsible for all actions taken under your account credentials. Biodux recommends enabling multi-factor authentication for all accounts.

5. Onboarding & Support

5.1 Onboarding Services

All new subscribers receive onboarding support including system configuration, data migration assistance, staff training, and channel setup. Onboarding is conducted by Biodux's implementation team and is typically completed within 14 days of subscription commencement, subject to timely cooperation from the hotel operator.

5.2 Data Migration

Biodux will assist with migrating existing guest, booking, and financial data into the platform where data is provided in a compatible format. Hotel operators are responsible for ensuring data provided for migration is accurate, lawfully obtained, and does not infringe third-party rights.

5.3 Customer Support

Biodux provides 24/7 customer support via phone, email, and WhatsApp for critical system issues. Standard support queries are addressed during business hours (Monday–Friday, 8am–6pm WAT; Saturday 9am–2pm WAT). Support is provided in English. Response time targets are: Critical issues — 2 hours; High priority — 8 hours; Standard queries — 24 hours.

5.4 Training

Initial staff training is included in the onboarding package. Additional training sessions for new staff or refresher training may be scheduled with the Biodux team. Training materials, user guides, and video tutorials are available through the Biodux Help Centre.

6. Limitation of Liability

6.1 Disclaimer of Warranties

The Service is provided "as is" and "as available". To the fullest extent permitted by Nigerian law, Biodux disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free, uninterrupted, or that all defects will be corrected.

6.2 Limitation of Liability

To the maximum extent permitted by applicable law, Biodux Technologies' total liability arising out of or related to these Terms or the Service shall not exceed the total subscription fees paid by you in the 12 months preceding the event giving rise to the claim. Biodux shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

6.3 Data Loss

Biodux maintains regular automated backups and disaster recovery procedures. However, we are not liable for data loss resulting from user error, third-party system failures, or circumstances beyond our reasonable control. Hotel operators are encouraged to export critical data regularly using the platform's built-in export tools.

6.4 Third-Party Services

Biodux is not liable for losses, errors, or downtime caused by third-party OTAs, payment gateways, channel managers, or other integrated services. Issues with third-party integrations should be raised directly with the relevant provider. Biodux will provide reasonable assistance in escalating such issues where possible.

7. Intellectual Property

7.1 Biodux Intellectual Property

The Biodux PMS platform, including its software, design, features, documentation, trademarks, and all related intellectual property, is owned by or licenced to Biodux Technologies. Nothing in these Terms transfers any intellectual property rights to you. You may not copy, reproduce, modify, or distribute any part of the platform without our written consent.

7.2 Your Data

You retain full ownership of all data you input into the platform, including guest records, booking data, financial records, and operational data ("Customer Data"). You grant Biodux a limited licence to store, process, and use Customer Data solely to provide and improve the Service. Biodux will not use Customer Data for any purpose beyond service delivery.

7.3 Feedback

If you submit suggestions, ideas, or feedback about the Service, you grant Biodux a royalty-free, perpetual licence to use such feedback to improve the platform without any obligation to compensate you or keep such feedback confidential.

8. Termination & Contact

8.1 Termination by You

You may cancel your subscription at any time by providing 30 days written notice to support@biodux.com or through the account management section of the platform. Cancellation takes effect at the end of the current billing period. You remain responsible for all fees accrued up to the termination date.

8.2 Termination by Biodux

Biodux may suspend or terminate your account immediately if you materially breach these Terms, fail to pay outstanding fees after notice, engage in fraudulent or illegal activity, or if continuing the service would expose Biodux or others to legal or regulatory risk. We will provide written notice of termination where reasonably practicable.

8.3 Effect of Termination

Upon termination, your right to access the Service ceases immediately. Your Customer Data will be available for export for 90 days post-termination, after which it will be securely deleted subject to legal retention requirements. Clauses relating to intellectual property, limitation of liability, and governing law survive termination.
